2023 GOLDEN GIVEAWAY SWEEPSTAKES (“SWEEPSTAKES”)

OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. MULTIPLE ENTRY DEADLINES APPLY. THIS SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE STATES OF FLORIDA, LOUISIANA, OKLAHOMA, AND TEXAS, WHO ARE 18 YEARS OF AGE OR OLDER AT THE TIME OF ENTRY. VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW.

SWEEPSTAKES PERIOD: Sweepstakes begins June 12, 2023 at 12:00:00 a.m. CT and ends August 20, 2023 at 11:59:59 p.m. CT (“Sweepstakes Period”). Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes at any time without notice or further obligation.

ELIGIBILITY: Open to legal residents of Florida, Louisiana, Oklahoma, and Texas who are 18 years of age at the time of entry. The “Sponsor” of this Sweepstakes is Golden Franchising Corporation. The following individuals are not eligible to enter or win a prize: employees, crewmembers, contractors, directors and officers of Golden Franchising Corporation, its parent, subsidiaries and affiliated companies, franchisees, web design, advertising, fulfillment, legal, judging, advertising and Sweepstakes agencies involved in the administration, development, printing, fulfillment and execution of this Sweepstakes (collectively, “Sweepstakes Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent, and spouse or “step” of each), and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Sweepstakes). Void outside Florida, Louisiana, Oklahoma, Texas and where prohibited.

TO ENTER: This Sweepstakes can only be accessed by entering the Sweepstakes website (www.enterpromo.com/goldengiveaway) during the Sweepstakes Period (see above) and following the online instructions to enter the Sweepstakes. Each personal entry will constitute a valid entry. Automated entries (using tools and/or applications to generate multiple entries) will automatically result in disqualification. Sponsor is not responsible for technical difficulties, internet or cell phone service disruptions or other equipment or service issues which might affect the ability to post an entry. Proof of submitting an entry does not constitute a valid entry. Sponsor assumes no responsibility for lost, late, misdirected, or incorrect entries, all of which are void.

Each person is limited to one (1) entry per day per email address/mobile phone number and is eligible to win only one (1) prize throughout the Sweepstakes Period. A “day” is defined as a twenty-four (24) hour time-period beginning at 12:00:00 a.m. CT and ending at the following 11:59:59 p.m. CT.

If you are entering the Sweepstakes using a mobile device, the person submitting the entry must be the authorized account holder/user of the mobile phone number/email address. The entry will be deemed void if they are not the authorized account holder/user, or if you are a member of a group, club or organization that reproduced or distributed any portion of these Official Rules to its members.

If there is a dispute over the identity of a potential winner, a potential winner may be required to provide identification sufficient to show that they are the authorized account holder/user of the mobile phone number/email address used to submit the entry.

PRIZES: One hundred and forty-five (145) prizes will be awarded on five (5) Mondays during the term of the Sweepstakes:

Ten (10) Grand Prizes will be awarded, each consisting of one (1) Solo Stove Pi Pizza Oven. Approximate retail value (“ARV”): $625.

Twenty-five (25) First Prizes will be awarded, each consisting of a Solo Stove Bonfire Portable Wood Fire Burning Firepit. ARV: $470.

Ten (10) Second Prizes will be awarded, each consisting of a 11’ Hammock with Stand. ARV: $450.

Twenty-five (25) Third Prizes will be awarded, each consisting of a RTIC 45QT Hard Cooler. ARV: $325.

Fifty (50) Fourth Prizes will be awarded, each consisting of a Mtn Dew Corn Hole Game. ARV: $299.

Twenty-five (25) Fifth Prizes will be awarded, each consisting of a Portable Outdoor Projector & Screen. ARV: $205.

Limit one prize Grand Prize, one (1) First Prize, one (1) Second Prize, one (1) Third Prize, one (1) Fourth Prize and one (1) Fifth Prize per name, address and/or household per person throughout the Sweepstakes Period. All prizes will be awarded.

No cash equivalent, transfer, or substitution of any prize is offered, except at the sole discretion of the Sponsor. Sponsor reserves the right in its sole discretion to substitute a prize in whole or in part with one of comparable or greater value. All costs and expenses associated with prize acceptance and use not specifically provided for herein are the responsibility of the winner. Any difference between the stated ARV and actual value at the time the prize is awarded will not be awarded.

DRAWINGS: All winners will be drawn from all valid entries received by each Entry Deadline by an independent judging organization (whose decisions shall be final and binding) on five (5) Mondays during the term of Sweepstakes Period. Odds of winning depend upon the total number of eligible entries received by each Entry Deadline. Entries eligible for one drawing remain eligible for all subsequent drawings. See schedule below for Entry Deadlines.

GENERAL: Entry in the Sweepstakes constitutes an entrant’s full and unconditional agreement to abide by and accept the terms and conditions of these Official Rules. No substitution of prize or cash equivalent except at Sponsor’s sole discretion. Cash equivalent may be less than the approximate retail value of the prize. A prize is non-transferable except at the sole discretion of the Sponsor. All federal, state, and local taxes on the prize are each winner’s sole responsibility. By accepting the prize, each winner waives the right to assert as a cost of winning said prize, any and all costs of redemption (including travel, lodging, meals, and other expenses) to redeem said prize and any and all liability that might arise from redeeming or seeking said prize. Each winner also accepts sole responsibility for any miscellaneous costs relating to acceptance of prize.

Neither Sponsor nor Sweepstakes Parties make any representation or warranty of any kind concerning the appearance, performance, or safety of any prize. Winner bears all risk of loss or damage to prize. Entrants hereby agree to indemnify, and hold Sponsor harmless from and against any third-party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses, including attorney fees and court costs, arising out of any breach or alleged breach of any of the representations or warranties referenced above.

The value of the prize won by a participant under the contest may be taxable as income to its winner. Each winner is solely responsible for any and all taxes and/or fees associated with the prize. Each winner will be issued an IRS Form W-9 with the Affidavit of Eligibility and Liability/Publicity Release and a subsequent IRS Form 1099. Upon receipt of a prize, each winner shall be required to comply with any and all applicable federal, state and local law, rules and regulations.

WINNER NOTIFICATION: Potential winners will be notified by phone and/or email at the phone and/or email address provided upon entry, within two (2) days of the drawing. Potential prize winner will be required to respond to winning notification within seventy-two (72) hours or their prize will be forfeited and may be awarded to an alternate winner. Sponsor is not responsible for suspended or discontinued wireless service, which may result in a potential winner not receiving initial prize notification. Once potential winner notification is confirmed to Sponsor, the potential prize winner may be sent an Affidavit of Eligibility and Liability/Publicity Release to be signed and returned within the number of days indicated on the Affidavit. In the event (i) the attempted notification is returned as undeliverable without a forwarding address; (ii) a telephone or text message notification is not confirmed to Sponsor within seventy-two (72) hours; (iii) any required documents are not returned within the required number of days; or (iv) if winner is otherwise unable to attend an event when specified or accept the prize as stated, prize will be forfeited and may be awarded to an alternate winner. Any prize not accepted by winner shall be forfeited. Allow four (4) to six (6) weeks for delivery of your prize following completion of notification process. Prizes will be awarded and/or delivered to addresses within the states of Florida, Louisiana, Oklahoma, and Texas only. Except as otherwise contemplated in these Official Rules, entrants/winners contact information collected by Sponsor in connection with the Sweepstakes will be used by Sponsor in accordance with Golden Chick’s Privacy Policy found at goldenchick.com. Any communication between entrant and Sponsor or its agencies regarding this Sweepstakes (i.e., phone calls, text messages, chats, emails, etc.) may be recorded for quality assurance and training purposes.

RELEASE OF LIABILITY: In consideration of the undersigned’s receipt of any prize, each winner for themself and their guests, heirs, personal representatives and assigns shall voluntarily and knowingly completely and forever shall release, waive and discharge Sponsor and Sweepstakes Parties from and against any and every kind of claim, demand, injury, costs, attorney fees, right, liability or cause of action or other liabilities of whatever kind or nature, known or unknown, absolute or contingent, and whether or not fixed, which the winner ever had, now has or might in the future have arising in any way or related to this Sweepstakes, including, but not limited to, winner’s participation in the Sweepstakes; winner’s Sweepstakes entry; use of winner’s name, likeness, biographical information, address, email and phone numbers, signature, image or likeness; winner’s receipt, use or the inability to use any prize or part thereof, including but not limited to injury or loss sustained in any travel related to the prize; financial claims; physical and/or emotional injury; and/or any other legal claim that may arise, whether under contract, tort, warranty or any other theory or claim.

All requests for the winner’s list must be postmarked by the end of the Sweepstakes (August 20, 2023) and received within ten (10) days thereafter (August 30, 2023).

HOW TO PLAY THE GAME: To play the game you must get a game piece (a “Game Piece”) by either (i) purchasing a 30 oz. fountain drink at a participating Golden Chick restaurant during the Promotion Period, while Game Piece supplies last, or (ii) by submitting a request for a free Game Piece by mail as explained in Section 5 below. If you purchase a 30 oz. fountain drink, you need to peel back the game sticker on the cup to reveal the Game Piece. Each Game Piece contains an in-store offer that you may use to redeem for a prize on your next visit to a participating Golden Chick.

HOW TO REQUEST A GAME PIECE BY MAIL WITHOUT MAKING A PURCHASE: To request a Game Piece by an alternate method of entry (“AMOE”) without purchase, while Game Piece supplies last, mail a self-addressed stamped envelope (“SASE”) to: Golden Chick Game Piece Request, P.O. Box 941459, Maitland FL 32794-1459. DO NOT SEND ANY WINNING GAME PIECES, COMMENTS OR QUESTIONS TO THIS MAILING ADDRESS. SASEs must be handwritten and postmarked by August 20, 2023 and received by August 25, 2023. Proof of sending will not be deemed to be proof of receipt by Sponsor. No mechanical reproductions will be accepted. Sponsor is not responsible for lost, late, illegible, invalid, misdirected, mutilated, incomplete, or postage-due mail/requests, which will be disqualified. Limit one (1) mail-in request per outer postmarked envelope.

PRIZES AND RESTRICTIONS: Approximately 3,316,640 Game Pieces are available for distribution (via in-store purchases and mail-in AMOE). The number of Game Pieces and prizes available will decrease throughout the Promotion Period as Game Pieces are distributed and prizes are claimed.

Sponsor reserves the right in its sole discretion to substitute a prize in whole or in part with one of comparable or greater value. All costs and expenses associated with prize acceptance and use not specifically provided for herein are the responsibility of the winner. The ARV for Food/Beverage Instant Win Prizes is based on the average menu price of the item across participating Golden Chick locations as of the date these Official Rules were finalized and may fluctuate. Any difference between the stated ARV and actual value at the time the prize is awarded will not be awarded.

PRIZE CLAIM INSTRUCTIONS: Give your Game Piece with an in-store offer to the cashier on your next visit to a participating Golden Chick restaurant to claim the in-store offer. Offers are not valid in combination with any other offer, discount, or coupon. Limit one (1) offer redemption per person per restaurant visit. For the purposes of redeeming an offer, all visits to the same Golden Chick location within a two-hour period are deemed to constitute a single visit. All offers must be redeemed in a participating restaurant no later than October 20, 2023.

ALL PRIZE CLAIM SUBMISSIONS: No reproductions of Game Pieces will be accepted or Game Pieces from any other promotion. Game Pieces submitted for redemption become the property of Sponsor and will not be returned. Claims are subject to verification and anti-fraud detection devices may be used to verify the winning Game Pieces. Any Game Piece will be automatically void if it fails to pass anti-fraud detection measures, or if it is determined to be mutilated, mechanically reproduced, photocopied, forged, altered, defaced, tampered with, stolen, un-issued, unauthorized, or illegible in any way, if it contains printing, production, mechanical, typographical, or other errors, or if it is obtained outside authorized channels. Sponsor’s decision regarding voiding such a Game Piece is final and binding. No prize or offer will be awarded to the holder of any Game Piece that is determined to be void. An instant win prize claim will not be reviewed or verified until after the Promotion has ended. Sponsor’s decisions shall be final and binding on all matters relating to the Promotion.

RELEASE AND GENERAL TERMS: Bulk purchases of 30 oz. cups (i.e., sold in sleeves, packs, boxes, etc.) will not be available during the Promotion Period. If a participating Golden Chick restaurant exhausts its stock, if any, of 30 oz. fountain drink cups featuring Game Pieces during the Promotion, replenishment of promotional fountain drink cups will depend on availability. Sponsor is not responsible for late, lost, misdirected, mutilated, incomplete, illegible, or postage-due Game Piece requests or mail. Sponsor is not responsible for any change of mailing address, email address and/or telephone number of entrants. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation as stated herein, or with any provision in these Official Rules. Participants assume all risk of loss to or destruction of Game Piece, and any delay and misdirection of prize claim documents and are advised to obtain insurance where appropriate. In the event of a printing, production or typographical error, irregular, or invalid code/message or computer error, neither Sponsor, the Promotion Parties, or printers of the Game Pieces, or their respective agents or agencies shall have any liability except as described in the following sentence. Liability of Sponsor, the Promotion Parties, or printers of the Game Pieces, or their respective agents or agencies, for an official Game Piece containing printing or other errors that is rendered invalid due to any type of malfunction, technological or otherwise, is limited to replacement with any Game Piece, while supplies last. Game Pieces are void if obtained where prohibited by law. No more prizes than the prizes stated in these Official Rules will be awarded, and if there are more verified prize claims received for any prize level than the number of prizes being offered, Sponsor reserves the right to award the intended number of prizes through a random drawing from among all eligible prize claims received. In the event Sponsor is prevented from continuing with the Promotion, or the integrity and/or feasibility of the Promotion is severely undermined by any event beyond the control of Sponsor, including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute, or strike, acts of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, infection by computer virus, unauthorized intervention, technical failures, or other cause not reasonably within the control of Sponsor (each a “Force Majeure” event or occurrence), Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel, or terminate the Promotion without any further obligation. By participating in this Promotion and submitting a prize claim, each entrant (and entrant’s parent/legal guardian if entrant is an eligible minor in his or her jurisdiction of residence) agrees: (i) to be bound by these Official Rules, including all prize claim requirements; (ii) to hold Sponsor, its representatives, directors, officers, agents, divisions, affiliates, subsidiaries, advertising and promotional agencies, employees, crewmembers and assigns (collectively, the “Released Parties”), harmless against any and all claims, injuries, damages, losses and liability that may occur (including without limitation, property, damage, death and bodily injury), directly or indirectly, in whole or in part, from participation in the Promotion, the unauthorized or illegal access to personally identifiable or sensitive information, or from the receipt or use of any prize, or any travel or activity related to the receipt or use of any prize; and (iii) that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law relative to any prize. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.

BINDING ARBITRATION: Any controversy or claim arising out of or relating to the Promotion shall be settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably convenient for claimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedures”) then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply Texas law (without regard to conflicts of laws principles), consistent with the Federal Arbitration Act, and applicable statutes of limitations, and shall honor claims of privilege recognized at law. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty (60) days after the demand for arbitration is made, unless further extended by mutual agreement of the parties. ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS PROMOTION IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.

BY PARTICIPATING IN THE PROMOTION, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY ENTRANT.
